I am the Principal of Bruce A. Hubbard, P. C., an independent law firm where I have practiced law in New York City.  I was a Senior Associate at Davis, Polk & Wardwell in the corporate banking department, concentrating on Municipal Finance; and prior to that I was General Counsel and Secretary of Northville Industries, Inc. a privately held petroleum products throughput, transshipment, storage, pipeline and trading company based in Melville, New York.

Expertise and Core Competencies:

I have core competencies in bank financings, litigation, contracts, real estate, and a general transactional corporate practice.  I have tried complex commercial cases in the State and Federal Courts of New York, in real estate, finance, personal injury, domestic relations, employment, and Sarbanes-Oxley.  I also have additional expertise in personal injury actions involving accidents, business ownership disputes, real estate defaults and bankruptcies, securities fraud, whistle-blowing, employment arbitration and litigation, domestic relations, estates and trusts, stockholder agreements, payments and collections, breaches of contracts and warranties.

In my financings, contracts, real estate and transactional practice I have significant real estate transactional expertise representing commercial cooperative and condominium housing companies; financed and closed both commercial and residential real estate projects; negotiated and settled disputes after hearings with state and federal agencies including the EPA, FAA, the IRS, the EEOC, OSHA, NASD and HUD; and drafted and supervised the negotiation and execution of contracts for marketing, real estate, litigation settlements, project finance and stock transactions, and employment contracts (including options, equity arrangements and severance).  I have also organized and created new business entities and advised concerning their financing, investment and business plans

Representative Engagements:

Counsel to over 4000 unit cooperative and condominium boards for all contracts, litigation, regulatory agency cases and construction matters.

Counsel for plaintiff who successfully defeated two (2) Motions to Dismiss in a Sarbanes-Oxley securities fraud, racial discrimination and whistle-blowing civil action in the SDNY against Fortune 500 Asset Management Firm.

Counsel for employee vs. Wall Street investment bank in a successful arbitration award of a dispute over compensation, severance and discrimination before the NASD

Counsel to New York City multi-million dollar jewelry manufacturer vs. E. P. A. with respect to successful and economic settlement of a dispute related to violations of regulations regarding the emission of toxic chemicals into the NYC Sewer System.

Counsel to successful Mid-Town Manhattan HDFC vs. partner in dispute over ownership of air rights for construction of new facility above existing structure in NYC.

Negotiated favorable agreement between client, national advertising agency and sub-agency for marketing and advertising services for automobile sales in a specific urban market.

Preparation and negotiation of economic net commercial leases for clients as landlord and tenant for major Manhattan Real Estate Firm.

Preparation of Owner /Architect Agreements, review of Plans and Specifications, Bids, preparation and negotiation of Owner /Contractor Agreements and successful Closing of all transactions for construction and rehabilitation of Real Estate Development Projects.

Representation of numerous successful clients in defense before state and federal administrative and regulatory bodies, such as NYC DEP, NYC ECB, Workmen's Compensation Board, NYC HPD and NYC Buildings Dept.

Representation of client in start up of advantageous franchise for cutting edge low calorie and energy efficient fast food restaurant business with negotiation of franchise agreement, territory agreement, site locations agreements, financing and business organization.
